1.1. These terms and conditions ("Terms") govern the use of services provided by VanityAi ("Company") and constitute a legally binding agreement between the Company and its clients.

 

1.2. By utilizing our services, clients agree to adhere to these Terms.

 

2. Service Description:

 

2.1. VanityAI provides AI automation services primarily aimed at E-commerce stores, as well as other companies, to integrate AI into their operations effectively.

 

2.2. The specifics of services, including nature, scope, and duration, will be detailed in a separate agreement or proposal between the Company and the client, ensuring compliance with German regulations governing AI services.

 

3. Client Responsibilities:

 

3.1. Clients are responsible for furnishing accurate and necessary information required for service provision, ensuring compliance with all relevant legal requirements, including those stipulated by German law.

 

3.2. Clients must refrain from using the services for any illegal or unauthorized purposes under German law.

 

4. Fees and Payment Terms:

 

4.1. Service fees will be clearly outlined in the agreement or proposal provided to the client, adhering to German commercial laws and regulations.

 

4.2. Clients are required to make an upfront payment of at least half the total fee, as specified in the

agreement.

 

4.3. Payment terms, including invoicing schedules and accepted methods of payment, will be detailed in the agreement, ensuring compliance with German commercial laws.

 

5. Intellectual Property Rights:

 

5.1. The Company retains all intellectual property rights related to the services provided, including software, algorithms, or proprietary technologies developed during service provision, in accordance with German intellectual property laws.

 

5.2. Clients may not use, reproduce, or distribute any proprietary information without explicit permission from the Company, as per German intellectual property laws.

 

6. Confidentiality:

 

6.1. Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of services, complying with German data protection laws, including GDPR.

 

6.2. Exceptions to confidentiality will only apply where disclosure is required by German law.

 

7. Limitation of Liability:

 

7.1. The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, in accordance with German contract laws.

 

7.2. The total liability of the Company shall not exceed the fees paid by the client for the specific services rendered, in compliance with German contract laws.

 

8. Termination of Services:

 

8.1. Either party reserves the right to terminate the services by providing written notice to the other party, adhering to termination clauses specified in the agreement and German contract laws.

 

8.2. Termination will be subject to the terms outlined in the agreement regarding notice periods and any associated fees, in compliance with German contract laws.

 

9. Governing Law:

 

9.1. These Terms are governed by and construed in accordance with the laws of Germany, and any disputes shall be settled in the courts of Germany, ensuring compliance with German legal requirements.

 

10. Miscellaneous:

 

10.1. These Terms constitute the entire agreement between the parties concerning the services provided, superseding any prior agreements or understandings, in accordance with German contract laws.

 

10.2. Any amendments or modifications to these Terms must be made in writing and agreed upon by both parties, complying with German contract laws.

 

11. 3rd Party:

 

11.1. Work may be outsourced to a trusted third party only under circumstances explicitly outlined in the agreement, ensuring compliance with German data protection laws and regulations.

 

12. Refund Policy:

 

12.1. The upfront payment (usually 50% of the total fee) cannot be refunded after the commencement of development of the AI tool, considering the initial costs incurred by the Company, in line with German consumer protection laws.

 

12.2. Clients have the right to request a refund within the first 30 days after receiving the AI tool, complying with German consumer protection laws.
